The rules that apply when you browse, purchase, upload content, or use Imagelet services.

Orders

Your order is submitted when you complete checkout. An automated order confirmation acknowledges that we received your order but does not necessarily mean that we have accepted it. We accept an order when we begin production, dispatch the order, or otherwise confirm acceptance.

Custom Imagelets

Products made using your uploaded images or personalized instructions are created specifically for you. They generally cannot be returned because of a change of mind, but we will assist when an item arrives damaged, defective, incorrectly produced, or materially different from what you ordered.

Your Uploaded Content

You retain ownership of the images and other content you upload. You give Imagelet limited permission to process, reproduce, crop, print, manufacture, and deliver that content solely as necessary to provide the services you request.

Art Marketplace

Artwork offered through the Imagelet Art Marketplace remains owned by the relevant artist, creator, licensor, or rights holder. Purchasing a physical Imagelet does not transfer copyright or give you permission to reproduce the artwork.

Shipping and Returns

Delivery estimates are not guaranteed. Our Shipping and Returns Policy explains delivery, damaged-item reports, replacements, refunds, and other order-support procedures.

About Imagelet

These Terms of Service explain the rules that apply when you visit, access, or use the Imagelet website, create an account, upload content, purchase products, or use any other services provided by Imagelet.

Please read these Terms carefully before using our services. By accessing the website, creating an account, submitting an order, or otherwise using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, please do not use the website or our services.

These Terms are entered into between you and Vista Innovations Limited, trading as Imagelet, with its registered address at Flat A 12/F ZJ 300, 300 Lockhart rd, Wan Chai, Hong Kong.

In these Terms, “Imagelet,” “we,” “us,” and “our” refer to the company identified above. “You” and “your” refer to the person using our website or purchasing our products.

Imagelet offers interchangeable visual products, picture frames, accessories, custom printing services, licensed artwork, marketplace products, and related services.

Our products may include:

  • Imagelets and other visual display tiles
  • Imagelet-compatible wall and tabletop frames
  • Customer-personalized or custom-printed products
  • Artwork and designs offered through the Art Marketplace
  • Accessories, mounting products, and replacement components
  • Other products or services made available through the website

Product availability, specifications, materials, finishes, colors, sizes, packaging, and features may change from time to time.

Definitions

For these Terms:

“Account” means a registered customer account on the Imagelet website.

“Art Marketplace” means the section of the website through which artwork, photography, illustrations, licensed content, and other visual works may be offered as physical Imagelet products.

“Custom Product” means any product manufactured, printed, personalized, or configured using content or instructions submitted by you.

“Frame” means any Imagelet-compatible frame, display structure, mounting system, tabletop product, wall-mounted product, or related display accessory.

“Imagelet” means a physical visual tile, printed product, content tile, decorative insert, or other compatible display product sold under the Imagelet brand.

“Marketplace Content” means artwork, photography, illustrations, graphics, characters, designs, trademarks, names, or other materials offered through the Art Marketplace.

“Product” means any physical or digital item offered through the website.

“Services” means the website, customer accounts, custom printing, manufacturing, marketplace, fulfilment, support, and related services provided by Imagelet.

“Uploaded Content” means any photograph, image, graphic, illustration, text, design, file, personalization instruction, or other material submitted by you.

Eligibility

You must be legally capable of entering into a binding contract to place an order or create an account.

If you are under the age of legal majority in your country or region, you may use the website only with the involvement and permission of a parent or legal guardian.

By using the Services, you confirm that:

  • You have the legal authority to accept these Terms.
  • The information you provide is accurate and complete.
  • You will comply with all applicable laws and regulations.
  • You will not use the Services for unlawful, fraudulent, abusive, or unauthorized purposes.

We may refuse service, suspend access, or cancel an order where we reasonably believe that these requirements are not met.

Customer Accounts

You may be able to browse or purchase certain Products without creating an Account. Some features may require registration.

When creating an Account, you agree to provide accurate, current, and complete information.

You are responsible for:

  • Keeping your password and login information secure
  • Restricting access to your Account and devices
  • Reviewing activity performed through your Account
  • Informing us promptly if you suspect unauthorized access
  • Keeping your contact and delivery information up to date

You may not sell, transfer, assign, or share your Account with another person without our written permission.

We may suspend or close an Account where we reasonably believe it has been used for fraud, abuse, infringement, repeated payment disputes, unlawful activity, or a material violation of these Terms.

You may request closure of your Account by contacting us. We may retain transaction, tax, fraud-prevention, customer-service, and legal records where required or reasonably necessary.

Product Information

We make reasonable efforts to present Products accurately, including their descriptions, sizes, colors, finishes, materials, compatibility, pricing, and availability.

However, the appearance of a Product may vary depending on:

  • Your device or display settings
  • Screen brightness and color calibration
  • Lighting conditions
  • Printing processes
  • Material characteristics
  • Manufacturing tolerances
  • Hand-finishing or assembly
  • The resolution and quality of Uploaded Content

Images displayed on the website are provided for illustration and may not represent exact scale.

Slight differences in color, texture, alignment, dimensions, finish, or appearance may occur where they are consistent with the Product description and normal manufacturing variation.

We may update Product descriptions, specifications, packaging, or design details from time to time, provided that the change does not materially reduce the essential functionality of a Product already ordered.

If a material error affects your order, we may contact you to confirm corrected information, offer an alternative, or cancel and refund the affected Product.

Product Compatibility and Installation

Certain Imagelets, Frames, mounting plates, accessories, and components are designed to work together only in specified sizes, orientations, or product generations.

You are responsible for reviewing compatibility information before purchasing.

Installation instructions, wall-surface requirements, weight limits, adhesive guidance, and mounting recommendations may be provided on the Product page, packaging, or support materials.

You agree to follow all provided installation and safety instructions.

Wall-mounted Products may not be suitable for every surface. Performance may vary depending on:

  • Wall material
  • Paint condition
  • Surface texture
  • Humidity
  • Temperature
  • Dust, grease, or contamination
  • Installation technique
  • Product weight
  • Use of third-party adhesives or hardware

Imagelet is not responsible for damage caused by:

  • Incorrect installation
  • Failure to follow instructions
  • Use on an unsuitable surface
  • Exceeding stated weight or compatibility limits
  • Unauthorized modification
  • Third-party mounting products
  • Normal wear, misuse, or accidental impact

Nothing in this section excludes liability that cannot legally be excluded.

Orders

When you place an order, you are making an offer to purchase the selected Products under these Terms.

After submitting an order, you may receive an automated acknowledgement or confirmation email. This confirms that we received your order but does not necessarily mean that we have accepted it.

We may accept your order when we:

  • Begin producing a Custom Product
  • Confirm that production has started
  • Dispatch the Product
  • Send an express order-acceptance notice

We may decline or cancel an order before acceptance for reasons including:

  • Payment authorization failure
  • Suspected fraud or unauthorized activity
  • Incorrect pricing or Product information
  • Product unavailability
  • Licensing or territorial restrictions
  • Problems with Uploaded Content
  • Delivery restrictions
  • Quantity limits
  • Technical errors
  • Violation of these Terms

If we cancel an order after receiving payment, we will refund the amount paid for the cancelled portion to the original payment method, subject to payment-provider processing times.

We may limit quantities or reject orders that appear to be intended for unauthorized resale, commercial reproduction, or distribution.

Prices, Currency, Taxes, and Payment

Prices are shown in the currency indicated on the website or during checkout.

The currency displayed may differ from the currency ultimately charged by your bank, card issuer, digital wallet, or payment provider.

Your payment provider may apply:

  • Foreign-exchange conversion
  • International transaction fees
  • Card-processing fees
  • Bank charges
  • Other fees outside Imagelet’s control

Unless otherwise stated, Product prices do not include import duties, customs fees, local taxes, brokerage fees, or other charges imposed by authorities in the delivery destination.

You are responsible for charges that are not collected by Imagelet at checkout.

Payment must be successfully authorized before we are required to process an order.

We may use third-party payment providers. Your payment information may be processed directly by those providers under their own terms and privacy policies.

You agree not to initiate a fraudulent or abusive chargeback. Contact us first if you believe there is an issue with your order or payment.

Promotions and Discount Codes

Promotions, credits, coupons, gift cards, referral rewards, and discount codes may be subject to additional conditions.

Unless otherwise stated:

  • Promotions cannot be combined.
  • Discounts apply only during the stated promotional period.
  • Codes have no cash value.
  • Codes may be limited by Product, customer, territory, or quantity.
  • Shipping, duties, and taxes may be excluded.
  • Codes may not apply retroactively.
  • Codes may not be resold or transferred.
  • We may cancel codes affected by fraud, misuse, or technical error.

Where a pricing or promotional error is obvious, we may correct the error before accepting the order.

Custom Products and Uploaded Content

10.1 Ownership of Your Content

You retain any ownership rights you have in your Uploaded Content.

Imagelet does not claim ownership of your private photographs, artwork, or other materials merely because you upload them to our Services.

10.2 Permission to Fulfil Your Order

By uploading content, you grant Imagelet a limited, non-exclusive, worldwide, royalty-free license to:

  • Store and process the content
  • Resize, crop, format, and prepare it for production
  • Reproduce and print it
  • Manufacture the ordered Product
  • Perform quality-control checks
  • Share it with service providers involved in hosting, production, packaging, fulfilment, delivery, support, fraud prevention, and payment processing
  • Retain it for a reasonable period for order fulfilment, reorders, customer support, legal compliance, and dispute resolution

This license exists only to the extent reasonably necessary to provide the Services you request and operate our business.

Unless you separately and expressly authorize us, we will not use private Uploaded Content for:

  • Public advertising
  • Public display
  • Social media promotion
  • Commercial licensing
  • Sale to third parties
  • Training generative artificial intelligence models

10.3 Your Responsibilities

You confirm that:

  • You own the Uploaded Content or have all necessary permissions to use it.
  • Printing or manufacturing the Uploaded Content will not infringe copyright, trademark, privacy, publicity, moral, contractual, or other rights.
  • You have permission from identifiable individuals where required.
  • The content complies with applicable law.
  • The content does not contain malicious files or code.
  • The content does not violate these Terms.

You are responsible for the accuracy, resolution, cropping, spelling, layout, orientation, and quality of your Uploaded Content, except where an error is caused by Imagelet.

10.4 Prohibited Uploaded Content

You may not upload content that:

  • Is unlawful, fraudulent, threatening, abusive, harassing, or defamatory
  • Exploits or endangers children
  • Contains non-consensual intimate imagery
  • Violates privacy or publicity rights
  • Infringes intellectual-property rights
  • Promotes terrorism or violent extremist activity
  • Contains malicious software
  • Facilitates criminal conduct
  • Includes hateful content directed at protected groups
  • Is submitted for impersonation, deception, counterfeiting, or fraud
  • Is otherwise reasonably considered unsafe, illegal, or harmful

We may reject, remove, or decline to produce Uploaded Content where we reasonably believe it violates these Terms or exposes Imagelet, our partners, or others to legal or safety risk.

Where appropriate, we may report unlawful activity to relevant authorities.

10.5 Production Adjustments

To manufacture a Custom Product, we may make reasonable technical adjustments such as:

  • Cropping
  • Scaling
  • Resizing
  • Color-profile conversion
  • Sharpening
  • Compression
  • Bleed extension
  • Border adjustment
  • File-format conversion
  • Minor positioning changes

We will not intentionally make material creative changes to your Uploaded Content unless the Product or service clearly includes such editing.

Custom Product Accuracy and Quality

Custom Products are produced using the files and instructions submitted during checkout.

The following are not normally considered defects where they are disclosed, reasonably foreseeable, or caused by customer-provided materials:

  • Minor differences between on-screen and printed colors
  • Reasonable cropping required by the selected format
  • Low-resolution, blurred, compressed, or pixelated source files
  • Spelling or personalization errors entered by the customer
  • Slight manufacturing tolerances
  • Minor variations in print placement
  • Small differences between repeat orders produced at different times
  • Variations arising from different display materials or finishes

We will assist where a Custom Product:

  • Is printed using the wrong file
  • Contains a production error caused by Imagelet
  • Is materially misaligned beyond normal tolerance
  • Arrives damaged
  • Is defective
  • Is materially different from the order accepted by us

We may request photographs, packaging images, order details, or other reasonable evidence before providing a replacement or refund.

12

Art Marketplace

12.1 Ownership

Marketplace Content remains owned by Imagelet, the applicable artist, creator, photographer, publisher, studio, brand, licensor, or other rights holder.

Purchasing a physical Product containing Marketplace Content does not transfer copyright, trademark rights, or any other intellectual-property rights to you.

12.2 Permitted Use

Unless otherwise stated, purchasing a Marketplace Product gives you the right to own and privately display the physical Product for personal, non-commercial use.

You may give or resell the original physical Product, subject to applicable law, but you may not reproduce, copy, scan, photograph for commercial reproduction, distribute, publish, license, tokenize, or commercially exploit the Marketplace Content.

12.3 Prohibited Uses

You may not use Marketplace Content to:

  • Create copies or derivative merchandise
  • Produce prints, posters, apparel, digital downloads, or other products
  • Upload the content to print-on-demand services
  • Use it in advertising or branding
  • Train artificial intelligence models
  • Create non-fungible tokens or blockchain assets
  • Remove copyright, creator, trademark, or attribution notices
  • Suggest endorsement by the artist or rights holder
  • Use the content in a commercial venue unless expressly authorized

12.4 Licensing and Availability

Marketplace Content may be available only:

  • For a limited period
  • In selected territories
  • In specific sizes or formats
  • In limited quantities
  • Under a particular license
  • Subject to creator or licensor approval

We may remove or discontinue Marketplace Content where a license expires, rights change, or continued sale becomes unavailable.

Removal of Marketplace Content does not affect an order already accepted unless fulfilment becomes legally or practically impossible. In that situation, we will cancel and refund the affected item.

12.5 Limited Editions

Where a Product is described as a limited edition, the applicable Product page will explain the edition size, numbering, certificate, availability, or other edition-specific details.

Unless expressly stated, ordinary Marketplace Products are not limited editions and should not be treated as investment products.

Intellectual Property

The Imagelet website, brand, product designs, software, text, graphics, logos, interfaces, photographs, videos, layout, packaging, documentation, and other materials are owned by or licensed to Imagelet.

These materials are protected by copyright, trademark, design, patent, trade-dress, unfair-competition, and other intellectual-property laws.

Except as expressly permitted, you may not:

  • Copy or reproduce our website
  • Use the Imagelet name or logo without permission
  • Reverse engineer our software
  • Scrape or systematically collect website content
  • Create confusingly similar Products or branding
  • Remove proprietary notices
  • Use our content for commercial training datasets
  • Frame or mirror the website
  • Use automated systems in a way that burdens or disrupts the Services

Nothing in these Terms grants you ownership of Imagelet intellectual property.

Creator, Artist, and Rights-Holder Submissions

If you submit artwork or other materials for possible marketplace, licensing, collaboration, or commercial use, those submissions may be governed by a separate agreement.

Submitting material does not require Imagelet to:

  • Review it
  • Accept it
  • Publish it
  • Offer it for sale
  • Keep it confidential
  • Pay compensation
  • Enter into a partnership

Do not submit confidential business information, unreleased intellectual property, or commercially sensitive material unless an appropriate written agreement is already in place.

Where a separate creator, licensing, collaboration, or marketplace agreement conflicts with these Terms, the separate agreement will govern the relevant subject matter.

Shipping and Delivery

Shipping options, delivery estimates, restrictions, and charges are shown during checkout or in our Shipping and Returns Policy.

Delivery dates are estimates and are not guaranteed unless expressly stated.

Delivery may be affected by:

  • Production time
  • Carrier delays
  • Customs processing
  • Weather
  • Public holidays
  • Remote delivery locations
  • Incorrect address information
  • Import restrictions
  • Events outside our reasonable control

You are responsible for providing a complete and accurate delivery address.

We are not responsible for delivery problems caused by incorrect or incomplete information provided by you. We may charge additional shipping costs to resend an order returned because of an address error, refusal, failed collection, or unclaimed delivery.

Risk of loss passes to you when the Product is delivered to the delivery address provided at checkout.

Where tracking indicates delivery but you cannot locate the package, contact us promptly so that we can review the shipment with the carrier.

If you direct a carrier to leave a package in a specified location, with a neighbor, at a reception desk, in a parcel locker, or without a signature, delivery to that location may be treated as completed.

Customs, Duties, and International Orders

International orders may be subject to:

  • Customs inspections
  • Import duties
  • Sales tax
  • Value-added tax
  • Brokerage charges
  • Handling charges
  • Local import restrictions

Unless checkout expressly states that these charges are included, you are responsible for paying them.

Customs authorities may open or inspect packages.

We are not responsible for delays caused by customs or for a customer’s refusal to pay applicable import charges.

If an international shipment is returned because duties were unpaid, delivery was refused, or customs requirements were not completed, we may deduct unrecoverable shipping, return, customs, or handling costs from any refund, to the extent permitted by law.

Changes and Cancellations

Contact us as soon as possible if you wish to change or cancel an order.

We cannot guarantee that an order can be changed or cancelled after submission.

Custom Products may enter production quickly. Once production begins, cancellation may no longer be possible.

Where we agree to a cancellation before production or fulfilment begins, we will refund the applicable amount to the original payment method.

Any non-refundable design, editing, personalization, production, or processing charge will be disclosed before purchase where applicable.

Returns, Replacements, and Refunds

Our Shipping and Returns Policy forms part of these Terms.

Because Custom Products are made specifically for you, they generally cannot be returned or refunded because of:

  • A change of mind
  • Incorrect size selection
  • Customer-entered spelling errors
  • Unsatisfactory source-image quality
  • Expected on-screen-to-print color variation
  • Reasonable cropping
  • Minor manufacturing tolerances

This does not affect rights you may have where a Product is damaged, defective, incorrectly produced, materially misdescribed, or otherwise does not conform to applicable legal requirements.

If your order arrives damaged, defective, incomplete, incorrect, or materially different from your accepted order, contact us within the reporting period stated in our Shipping and Returns Policy.

We may require:

  • Your order number
  • A description of the issue
  • Photographs of the Product
  • Photographs of the packaging
  • Images of shipping labels
  • Other reasonable evidence

Depending on the circumstances, we may offer:

  • A replacement
  • A reprint
  • A repair or replacement component
  • Store credit
  • A partial refund
  • A full refund

The appropriate remedy may depend on the nature of the issue, the Product, availability, legal requirements, and whether the Product can reasonably be replaced.

Refunds are issued to the original payment method unless otherwise agreed or required by law.

Original and return shipping charges may be non-refundable unless the return results from our error, a defective Product, or applicable law requires otherwise.

Failure to Follow Care Instructions

Products may require appropriate handling, cleaning, storage, environmental conditions, or installation.

Imagelet is not responsible for damage caused by:

  • Improper cleaning
  • Abrasive chemicals
  • Excessive moisture
  • Direct heat
  • Prolonged sunlight exposure
  • Outdoor use where the Product is intended for indoor use
  • Bending or impact
  • Unauthorized repairs
  • Modification
  • Use outside stated specifications
  • Normal wear and tear

Care instructions may be provided on Product pages, packaging, or support materials.

Third-Party Services and Links

The website may contain links to or integrations with third-party services, including:

  • Payment providers
  • Shipping carriers
  • Social networks
  • Analytics providers
  • Cloud-hosting providers
  • Authentication providers
  • Creator websites
  • External marketplaces

Third-party services are governed by their own terms and privacy policies.

We are not responsible for third-party websites, content, availability, security, or practices.

A link or integration does not necessarily mean that Imagelet endorses the third party.

Reviews, Feedback, and Public Submissions

You may submit reviews, comments, suggestions, survey responses, or other feedback.

You retain ownership of content you submit, but you grant Imagelet a non-exclusive, worldwide, royalty-free license to use, reproduce, display, publish, translate, adapt, and distribute that content for customer support, website operation, marketing, product development, and business purposes.

This license does not apply to private Uploaded Content used to create Custom Products unless you separately authorize public use.

You must not submit reviews or feedback that are:

  • False or misleading
  • Defamatory
  • Infringing
  • Abusive
  • Fraudulent
  • Submitted in exchange for undisclosed compensation
  • Unrelated to your genuine experience

We may moderate or remove public submissions where reasonably necessary.

Privacy

Our Privacy Policy explains how we collect, use, disclose, store, and protect personal data.

By using the Services, you acknowledge that your information may be processed in accordance with our Privacy Policy.

Personal data may be processed in countries other than your own where our service providers, production partners, payment processors, or infrastructure providers operate.

Where required, we use appropriate measures for cross-border data processing.

You are responsible for ensuring that you have permission to upload personal data relating to other individuals.

Service Availability

We aim to keep the website and Services available, secure, and functional.

However, we do not guarantee that the Services will always be uninterrupted, error-free, or available.

We may temporarily suspend or restrict access for:

  • Maintenance
  • Security
  • Updates
  • Capacity management
  • Legal compliance
  • Technical problems
  • Events outside our reasonable control

We may modify or discontinue website features, provided that this does not remove rights relating to an order already accepted.

Prohibited Use

You may not use the website or Services to:

  • Violate applicable law
  • Commit fraud
  • Infringe intellectual-property rights

  • Access another person’s Account

  • Harass customers, creators, employees, or service providers
  • Misrepresent an affiliation with Imagelet
  • Resell Marketplace Content as unauthorized reproductions
  • Use the Services to facilitate unlawful conduct

We may investigate suspected violations and cooperate with payment providers, rights holders, carriers, and law-enforcement authorities where appropriate.

Copyright and Intellectual-Property Complaints

We respect intellectual-property rights.

If you believe that content available through Imagelet infringes your rights, contact us at info@imagelet.com and provide:

  • Your full name and contact information
  • Identification of the protected work
  • Identification of the allegedly infringing material
  • The relevant webpage or Product
  • An explanation of your rights
  • A statement that your complaint is made in good faith
  • Supporting documents where available

We may remove or restrict content while reviewing a complaint.

We may contact the uploader, creator, supplier, or licensor for additional information.

Submitting a false or misleading complaint may have legal consequences.

Suspension and Termination

We may suspend or terminate access to the Services where reasonably necessary because of:

  • A serious or repeated violation of these Terms
  • Fraud or payment abuse
  • Security concerns
  • Intellectual-property infringement
  • Unlawful conduct
  • Risk to Imagelet, our customers, partners, or creators
  • Legal or regulatory requirements

Where appropriate, we will provide notice and an opportunity to address the issue.

Termination does not affect rights or obligations that arose before termination, including payment, intellectual-property, indemnity, dispute, and liability provisions.

Disclaimers

We provide the website and Services with reasonable care and skill.

However, to the fullest extent permitted by law:

  • We do not guarantee uninterrupted website availability.
  • We do not guarantee that all website content will always be error-free.
  • We do not guarantee that Products will appear identical under every screen, lighting condition, or production batch.
  • We do not guarantee that third-party services will remain available.
  • We are not responsible for losses caused by events outside our reasonable control.

Nothing in these Terms excludes or limits any warranty, guarantee, consumer right, or liability that cannot lawfully be excluded or limited.

Limitation of Liability

To the fullest extent permitted by applicable law, Imagelet will not be liable for:

  • Indirect or consequential loss
  • Loss of profit
  • Loss of revenue
  • Loss of business
  • Loss of opportunity
  • Loss of goodwill
  • Loss arising from unauthorized commercial use
  • Loss arising from customer-provided content
  • Loss caused by failure to follow installation or care instructions

For consumer purchases, this exclusion does not apply where the loss was reasonably foreseeable and directly caused by our breach, negligence, defective Product, or failure to exercise legally required care.

To the fullest extent permitted by law, our total liability arising from a particular order will not exceed the greater of:

  • The amount you paid for the affected Product; or
  • Any minimum amount required by applicable law

Nothing in these Terms limits or excludes liability for:

  • Fraud or fraudulent misrepresentation
  • Wilful misconduct
  • Death or personal injury where liability cannot be excluded
  • Gross negligence where applicable
  • Violation of rights that cannot legally be excluded
  • Any other liability that applicable law does not permit us to limit

Indemnity

To the extent permitted by law, you agree to indemnify Imagelet and its directors, employees, contractors, partners, and service providers against third-party claims, losses, liabilities, and reasonable expenses arising from:

  • Uploaded Content that infringes another person’s rights
  • Your unlawful use of the Services
  • Your material breach of these Terms
  • Fraudulent or unauthorized activity performed through your Account
  • Your commercial reproduction or misuse of Marketplace Content

This obligation does not apply to the extent that a claim was caused by Imagelet’s own breach, negligence, or unlawful conduct.

Events Outside Our Control

We are not responsible for delay or failure caused by events outside our reasonable control, including:

  • Natural disasters
  • Severe weather
  • Fire
  • Flood
  • War
  • Terrorism
  • Civil unrest
  • Epidemics or pandemics
  • Government action
  • Customs restrictions
  • Labor disputes
  • Carrier disruption
  • Supply shortages
  • Power outages
  • Telecommunications failures
  • Cyberattacks
  • Infrastructure failures

Where such an event affects an accepted order, we will take reasonable steps to minimize disruption and provide an appropriate update or remedy.

Governing Law

These Terms and any dispute arising from them are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles.

The courts of Hong Kong will have non-exclusive jurisdiction over disputes relating to these Terms.

If you are a consumer, this section does not prevent you from relying on mandatory consumer protections or bringing a claim in another jurisdiction where applicable law gives you that right.

Resolving Complaints and Disputes

Material changes will apply prospectively. Where appropriate, we may provide additional notice through the website, email, or your Account.

The Terms in effect when we accept your order will normally govern that order.

Your continued use of the Services after revised Terms take effect means that the revised Terms apply to your future use of the Services.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our written consent.

We may assign or transfer our rights and obligations as part of a merger, acquisition, restructuring, financing, sale of assets, or transfer of the Imagelet business, provided that your rights are not materially reduced.

Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the greatest extent permitted by law.

The remaining provisions will continue in effect.

No Waiver

If we do not immediately enforce a provision of these Terms, that does not mean that we waive our right to enforce it later.

A waiver is effective only when made expressly in writing.

Entire Agreement

These Terms, together with any policies or additional terms expressly incorporated into them, form the agreement between you and Imagelet regarding the Services.

Relevant incorporated policies may include:

If a Product page includes specific terms that conflict with these general Terms, the Product-specific terms will govern that Product to the extent of the conflict.

Language

These Terms may be translated into other languages for convenience.

If there is a conflict between the English version and a translated version, the English version will govern, except where applicable law requires otherwise.
